MEMORANDUM OF UNDERSTANDING (MOU) Between GENIUS IT FOUNDATION & PARTNER SCHOOL
This document constitutes an agreement between Genius IT Foundation a tech-focused organization promoting digital inclusiveness across the Volta Region and Partner School, a private educational institution located in the Volta Region.
Partner School refers to the school that agrees to into and sign this agreement.
1. OBJECTIVE
The objective of this MoU is to express the willingness of both parties to engage to promote Digital/STEAM (Science, Technology, Engineering, Arts, & Mathematics) education in a partner school.
2. GENERAL TERMS OF THE AGREEMENT
Specific activities under this MoU are identified below.

GENIUS IT FOUNDATION
- Genius IT Foundation agrees to provide opportunities for growth of the staff of the partner schools in Digital Skills acquisition.
- Genius IT Foundation agrees to present opportunities for partner schools whenever they are available.
- Genius IT Foundation is present at least once a term to engage students in learning relevant Digital and STEM skills.
- Genius IT Foundation helps to propagate the effort of schools in the area of the school equipping their students with Digital and STEM Skills.
PARTNER SCHOOL
- Agree to engage Genius IT Foundation in special programs for publicity (E.g. Graduations, Sports, STEM, etc.)
- Agrees to involve Genius IT Foundation in helping educate the staff and children of your school in Digital/STEM-related activities in preparing the students, especially for future work.
- Agrees to participate in special programs organized by Genius IT Foundation in fostering stronger bonds in promoting the digital inclusiveness agenda of the foundation.
- Agrees to provide Genius IT Foundation with Data for working towards providing better Digital/STEM education to children.
The terms and provisions in this MOU also apply to any subsequent Addendum to this agreement.
3. NON-ENFORCEABILITY CLAUSE
This MoU is a non-binding statement of the Parties’ mutual understanding of their proposed collaboration framework. The MoU is not intended to create any legally enforceable rights or obligations in respect of either Party, including any obligation on their part to enter into any Supplemental Agreement.
4. EXPIRATION OF MOU
This MoU shall be effective as of its signature by both parties without any set duration, other than through termination in virtue of the below paragraph.
Either party may terminate this MoU by giving the other party one month’s advance written notice of termination.
5. INDEMNITY
The parties indemnify each other against any claims about other business activities of either party that fall outside this agreement. This includes but is not limited to non-compliance, negligent acts, or omission by that Party, its employees, agents, or representatives.
6. FORCE MAJEURE
Neither party shall be liable to the other for the inability to perform or for delayed performance in the of Agreement, should such inability or delay arise from any cause beyond the reasonable control of the such party, provided that the happening of such force has been drawn to the attention of the other party within a reasonable time of the occurrence of such cause (hereinafter referred to as a “force majeure event”).
7. CONFIDENTIALITY
The parties may disclose confidential information to one another to facilitate work under this agreement, on the understanding that such information shall be safeguarded, used only for the legitimate purposes of this Agreement, and not disclosed to anyone without a ‘need to know.
8. GOVERNING LAW AND JURISDICTION
This agreement shall be governed by and construed in all aspects following the laws of the Republic of Ghana, and the parties submit to the exclusive jurisdiction of the courts of the Republic of Ghana for purposes of any or all legal proceedings arising from concerning this Agreement.
IN WITNESS WHEREOF, by their signatures below, the parties have caused this Memorandum of Understanding to be executed and effective.
